Terms of Service

These Terms of Service (“Terms”) govern access to and use of the AcreTerminal platform (the “Service”), operated by DesiAcres Advisory Group (“DesiAcres”, “we”, “us”). By creating an account, accepting an invitation to an organisation, or otherwise using the Service, you agree to these Terms on behalf of yourself and, where applicable, the organisation you represent.
1. Acceptance of terms
By accessing or using the Service you confirm that you have read, understood and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case “you” refers to that entity.
2. Description of the service
AcreTerminal is a decision-support platform for commercial real estate leasing and asset management: portfolio and lease administration, market intelligence, requirement-to-property matching, transaction pipeline management, due diligence, negotiation quantification, scenario modelling, reporting and billing. Every calculated output is produced by a deterministic, versioned algorithm operating on data your organisation enters — the Service does not use AI or machine learning to generate any figure it shows you.
3. Eligibility and accounts
You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly of any unauthorised use of your account.
4. Organisations, roles and permissions
Access to the Service is organisation-scoped. Every user holds a role within an organisation (for example, an occupier-side role such as CFO or Portfolio Manager, or a DesiAcres-side role such as Account Manager) that determines what they can see and do. An organisation owner or admin is responsible for managing membership, roles and data-retention settings for their organisation, and for ensuring that everyone they invite is authorised to access the organisation's data.
5. Subscription plans, fees and billing
Access to the Service is billed according to the plan selected at signup (Starter, Growth, Portfolio, or a custom Enterprise agreement), as published on our Pricing page or in a signed order form. Subscription fees are billed in advance on a recurring basis and, unless stated otherwise, renew automatically at the end of each billing period until cancelled. Fees are exclusive of applicable taxes (including GST), which will be added where required by law. Transaction fees for lease execution, renewal, early exit or verification services apply as published on the Pricing page; any manual override of a fee requires administrator approval with a recorded reason, consistent with our audit-logging practice. We may change our fees on renewal with reasonable advance notice.
6. Cancellation and refunds
You may cancel your subscription at any time from Settings; cancellation takes effect at the end of the current billing period unless stated otherwise for your plan. Fee, cancellation and refund specifics are set out in full in our Refund & Cancellation Policy, which forms part of these Terms.
7. Your content and data
As between you and DesiAcres, you and your organisation retain all ownership rights in the portfolio, lease, financial, requirement and document data you submit to the Service (“Customer Data”). You grant DesiAcres a limited licence to host, store, process, transmit and display Customer Data solely to provide and support the Service to your organisation. You represent that you have all rights necessary to submit Customer Data and that doing so does not violate any third party's rights or any applicable law.
You are responsible for the accuracy of the data you enter. The Service's calculations are only as reliable as the inputs provided — see our Disclaimer.
8. Acceptable use
You agree not to, and not to permit any user of your organisation to:
access or attempt to access another organisation's data or circumvent role-based permissions; probe, scan or test the vulnerability of the Service, or breach its security or authentication measures; reverse-engineer, decompile or disassemble the Service except to the extent applicable law expressly permits; use the Service to store or transmit unlawful, infringing or malicious content; use automated means to scrape or extract data from the Service outside of its provided export tools; resell, sublicense or provide the Service to third parties outside your own organisation without our written consent; or use the Service in any way that violates applicable law.
9. Third-party services
The Service integrates with third-party providers to operate (for example, database and authentication infrastructure, payment processing and transactional email, described in our Privacy Policy). Your use of any optional third-party integration you enable may also be subject to that provider's own terms.
10. Intellectual property
The Service, including its software, algorithms, design, text and the AcreTerminal and DesiAcres names and marks, is owned by DesiAcres Advisory Group and its licensors and is protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service for your organisation's internal business purposes. Nothing in these Terms transfers any ownership right in the Service to you.
11. Confidentiality
Each party will use the other's confidential information only to perform its obligations under these Terms and will protect it with at least the same degree of care it uses for its own confidential information of similar nature, and no less than a reasonable degree of care. This does not apply to information that is or becomes public through no fault of the receiving party, or that is required to be disclosed by law.
12. No professional advice, no guaranteed outcomes
AcreTerminal does not guarantee savings, returns, negotiation outcomes, or the accuracy of any market estimate. Due-diligence checklists and document-risk scoring track status and surface risk; they do not constitute legal, financial, tax or investment advice or a legal conclusion. See our full Disclaimer for detail, which is incorporated into these Terms by reference.
13. Disclaimer of warranties
Except as expressly stated in a signed order form or enterprise agreement, the Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
14. Limitation of liability
To the maximum extent permitted by applicable law, DesiAcres will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or business opportunity, arising out of or relating to your use of the Service, even if advised of the possibility of such damages. DesiAcres' total aggregate liability arising out of or relating to these Terms or the Service will not exceed the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits any liability that cannot lawfully be limited.
15. Indemnification
You agree to indemnify and hold DesiAcres harmless from any claim, liability, damage or expense (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Service, or your violation of any law or third-party right, including in connection with Customer Data you submit.
16. Term, suspension and termination
These Terms remain in effect for as long as you have an active account or subscription. We may suspend or terminate your access if you materially breach these Terms and do not cure the breach within a reasonable period after notice, if required by law, or to prevent harm to the Service or other users. You may terminate by cancelling your subscription as described in Section 6. On termination, your right to access the Service ends; export and deletion workflows are available in Settings for a reasonable period beforehand, and our data-retention practice on termination is described in our Privacy Policy.
17. Force majeure
Neither party will be liable for any failure or delay in performance to the extent caused by circumstances beyond its reasonable control, including natural disaster, war, act of government, internet or utility failure, or failure of a third-party service the Service depends on.
18. Governing law and dispute resolution
These Terms are governed by the laws of India, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally will first be escalated in good faith between the parties' representatives and, failing resolution, will be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, with the seat and venue of arbitration in Bengaluru, India, conducted in English by a sole arbitrator. This does not prevent either party from seeking urgent injunctive relief from a competent court.
19. General provisions
Assignment. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition or sale of assets. Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect. Waiver. Our failure to enforce any provision is not a waiver of our right to do so later. Entire agreement. These Terms, together with our Privacy Policy, Refund & Cancellation Policy, Disclaimer and any signed order form, constitute the entire agreement between you and DesiAcres regarding the Service. Notices. We may provide notices under these Terms via email, in-app notification, or by posting on the Service.
20. Changes to these terms
We may update these Terms from time to time. We will update the “Last updated” date above, and for material changes we will make reasonable efforts to notify active organisation owners before the change takes effect. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
